Terms of Service
These Terms of Service (“Terms”) are a contract between you and Vaultly ltd (“Vaultly”, “we”, “us”), the operator of this website and marketplace. By creating an account or using Vaultly you agree to these Terms, our Privacy Policy, Refund & Dispute Policy and Trading Rules. Sellers also agree to the Seller Terms. 1. What Vaultly is
Vaultly is an online marketplace where independent sellers offer digital game items, in-game currency and game accounts, and buyers purchase them. Payments go into escrow held by us and are released to the seller only as described in these Terms.
- We are not the seller. Each sale is a contract between the buyer and the seller. We provide the platform, hold payments in escrow, and moderate disputes.
- We are not affiliated with any game publisher. Game names and trademarks belong to their owners and are used only to describe what is being sold.
- We do not guarantee that any listing will be available, or that any seller or buyer will complete a transaction.
2. Eligibility and your account
- You must be at least 18 years old and legally able to enter into a binding contract. If you are under 18 you may not use Vaultly.
- You must give accurate information and keep your email address up to date.
- You may hold only one account unless we agree otherwise in writing. Accounts are personal and may not be sold, shared or transferred.
- You are responsible for keeping your password secret and for everything done through your account. Tell us immediately through support if you suspect unauthorised access.
- You must not use Vaultly where doing so is illegal for you.
3. How orders and escrow work
Placing an order
When you place an order, the listed stock is reserved for you and we generate a unique deposit address and an exact cryptocurrency amount for that order. The amount is based on the order's US-dollar price and is locked for 20 minutes. If full payment has not been detected within that window, the order expires and the stock is released.
Paying
- You must send the exact amount shown, in the cryptocurrency shown, to the address shown, in a single transaction.
- A payment is only credited after it reaches the number of network confirmations we require for that cryptocurrency.
- Underpayments are not treated as payment and the seller is not asked to deliver. Late payments, underpayments and overpayments are handled through support under the Refund & Dispute Policy.
Escrow
Once your payment is credited the order is “in escrow”: we hold the funds and the seller is told to deliver. The seller cannot access escrowed funds. Escrowed funds are released to the seller only when:
- the buyer confirms receipt by pressing “I received my item”; or
- 3 days pass after the seller marks the order as delivered and the buyer has neither confirmed nor opened a dispute; or
- a moderator resolves a dispute in the seller's favour.
If a dispute is resolved in the buyer's favour, the payment is refunded to the buyer instead.
Middleman deals
Besides the marketplace, Vaultly offers a middleman service at /mm for trades two users agreed somewhere else. The same escrow, delivery, release and dispute rules apply as for marketplace orders, with these additions:
- One user creates a deal and invites the other with a private link. Either side may change the terms until both have accepted; any change must be accepted again by the other side. Once both accept the same version, the terms are locked and cannot be changed by anyone.
- The terms written in the deal are what a moderator uses to decide a dispute, together with the deal chat. Write down everything that was agreed. We are not responsible for promises made outside the deal page.
- Either side may cancel before the buyer starts paying. After a payment is open or funds are in escrow, the deal can only end by release, automatic release or a dispute decision.
- The fee for middleman deals is 5% of the deal price, paid by the seller and deducted when the payment is released. Deals are limited to $5.00–$5,000.00. Middleman deals do not create marketplace reviews.
- All other parts of these Terms, including prohibited conduct and the rules on game publishers and account risk, apply to middleman deals in full.
4. Fees
- Buyers pay the listed price. We do not add a buyer fee. Blockchain network fees for sending your payment are paid by you.
- Sellers pay a commission of 5% of the order subtotal, deducted automatically when an order completes. The commission rate is fixed on each order when it is placed.
- No commission is charged on refunded orders.
- We may change our fees for future orders by updating these Terms and the relevant pages. Changes never apply to orders already placed.
5. Cryptocurrency payments
- Cryptocurrency transactions are irreversible. We cannot recover funds sent to the wrong address, on the wrong network, or in the wrong asset, although we will make reasonable efforts to help where the funds reached an address we control.
- Cryptocurrency prices are volatile. Prices on Vaultly are set in US dollars; the cryptocurrency amount for an order is fixed at the moment you place it.
- Seller balances are kept in US dollars. Withdrawals are paid in the cryptocurrency the seller chooses, at the exchange rate when the payout is sent, subject to a minimum withdrawal of $30.00. Payouts are reviewed and sent by our team, not automatically.
- You are responsible for any taxes that apply to your purchases, sales or cryptocurrency holdings.
6. Disputes and refunds
If something goes wrong, first talk to the other side in the order chat. If you cannot resolve it, call a moderator into the chat or open a dispute from the order page while the order is in escrow or delivered. Opening a dispute freezes the payment and stops the automatic release. A moderator reviews the order, the chat and any evidence, and decides whether the payment goes to the seller or back to the buyer. Full details are in the Refund & Dispute Policy.
7. Order chat and communications
- Each order has a private chat between the buyer, the seller and, when needed, our moderators. Support tickets are private between you and our team.
- Messages cannot be edited or deleted and are kept as a record. Moderators may read an order's chat to resolve disputes, investigate reports or enforce these Terms.
- Do not use the chat to arrange payment outside Vaultly, to share passwords you are not handing over as part of a sale, or to harass anyone.
8. Prohibited conduct
You must not, and must not try to:
- sell or buy anything stolen, hacked, fraudulently obtained, duplicated through an exploit, or that you do not have the right to sell;
- defraud anyone, including by falsely marking an order delivered, falsely claiming non-delivery, or recovering an account after selling it;
- arrange or complete a transaction outside Vaultly with someone you met here, or otherwise avoid our fees;
- use Vaultly for money laundering, terrorist financing, sanctions evasion or any other illegal purpose;
- create fake orders, buy your own listings, or manipulate prices or statistics;
- impersonate Vaultly staff or another person, or phish for credentials;
- harass, threaten or abuse other users or staff, or post hateful, sexual or illegal content;
- scrape, attack, probe, overload or interfere with the service, or bypass any security or rate limit;
- open multiple accounts to evade a restriction or ban.
See the Trading Rules for the full list of prohibited items.
Reviews, verified badges and photos
Reviews
- After an order completes, its buyer may leave one positive or negative review of the seller, with an optional comment. The review can be changed for 30 days.
- Reviews must be honest and about the order. Offering or demanding anything in return for a review, reviewing yourself through another account, or using a review to threaten or harass is not allowed.
- Reviews are public on the seller's profile, with the buyer's username partly hidden. We may hide reviews that break these Terms; hidden reviews do not count towards a seller's score.
Verified badge
The verified badge is granted by hand by Vaultly ltd to accounts we have chosen to trust, including our own staff accounts. It is not a guarantee of any particular trade, and we may remove it at any time.
Photos
Sellers may add photos to their listings. Every photo is checked by a moderator before anyone else can see it. We remove hidden metadata (such as location data) from uploads. Photos must show only what is being sold and must not contain nudity, violence, personal information, contact details, links, or content you don't have the right to use. We may reject or remove any photo.
9. Game publishers and account risk
Buying, selling or transferring game items and accounts for real money may break the terms of service of the game's publisher. Publishers may suspend, reset or remove accounts or items at any time. You take that risk. We are not responsible for actions taken by a game publisher, and a publisher's action after an order is completed is not grounds for a refund unless the seller caused it (for example by recovering a sold account).
Accounts carry extra risk because the original owner may try to recover them. Buyers should change all login and recovery details immediately after delivery and before confirming.
10. Verification and compliance
To keep the marketplace safe and to meet our legal obligations, we may at any time ask you to verify your identity, the source of your funds, or your ownership of goods, and we may delay, refuse, freeze or cancel orders, payouts or refunds while we do so. Where the law requires, we may report activity to, or share information with, the relevant authorities. We may refuse service to anyone where we reasonably believe it is necessary to prevent fraud or comply with the law.
11. Suspension and termination
- You may stop using Vaultly at any time. To close your account, contact support. Orders already in progress must be completed or resolved first.
- We may suspend or close your account, remove listings, or restrict features if you break these Terms, if we suspect fraud or illegal activity, or if required by law.
- A seller's selling may be restricted, by a moderator or automatically, when their share of positive reviews falls below the level we set. While restricted, their offers are hidden and no new orders can be placed with them; orders already paid must still be completed.
- If your account is closed, funds that you legitimately earned will be paid out to you, less any amounts owed to buyers because of your conduct, and subject to any legal hold, pending dispute or verification.
12. Intellectual property
The Vaultly name, logo, website design and software belong to Vaultly ltd. You may not copy or reuse them without permission. You keep ownership of what you post (such as listing descriptions and messages) but give us a licence to host, display and use it to run the service and resolve disputes.
13. Disclaimers
Vaultly is provided “as is” and “as available”. To the extent permitted by law, we make no warranties about the service, about any listing, or about the behaviour of other users or game publishers. We do not guarantee uninterrupted or error-free operation. Nothing in these Terms limits any rights you have as a consumer that cannot be limited by law.
14. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost data, or losses caused by game publishers, blockchain networks, wallet providers, or events beyond our reasonable control. Our total liability to you for any claim relating to an order is limited to the amount you paid for that order, and for any other claim to the total fees we received from you in the 12 months before the claim. We do not exclude liability for fraud, for death or personal injury caused by our negligence, or for anything else that cannot be excluded by law.
15. Indemnity
If you break these Terms or the law and someone makes a claim against us because of it, you agree to compensate us for the reasonable costs and losses that result, to the extent permitted by law.
16. Changes to these Terms
We may update these Terms. We will change the effective date at the top and, for significant changes, give notice on the site before they take effect. Changes do not affect orders already placed. If you keep using Vaultly after the changes take effect, you accept the new Terms.
17. Governing law
These Terms are governed by the laws of Cyprus, and the courts there have jurisdiction, except that if you are a consumer you keep the protection of the mandatory laws of, and may bring proceedings in, the country where you live.
